1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the websites, applications, and online services operated by or on behalf of the Zori brand (the "Zori Group"). The Zori Group currently consists of Charon Digital Ltd, and may include additional legal entities in the future. Any reference to "Zori", "we", "us", or "our" in these Terms shall mean the specific member of the Zori Group that is providing the Services to you at the relevant time.
By accessing or using any part of our website or services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree, you must not use the Services.
2. Eligibility and Restricted Jurisdictions
You may use the Services only if you:
- are at least 18 years old (or the minimum legal age in your jurisdiction to form a binding contract); and
- have the legal capacity and authority to enter into these Terms; and
- are acting on your own behalf and not for any undisclosed third party; and
- are not a resident of, located in, or accessing the Services from any Restricted Jurisdiction (as defined below); and
- are not subject to any applicable sanctions, restrictions, or prohibitions, and are not listed on any sanctions list maintained by the United Nations, the United States (including OFAC), the European Union, the United Kingdom, or any other relevant authority.
"Restricted Jurisdictions" means the United States of America and its territories; the mainland of the People's Republic of China (excluding, for the purposes of these Terms, the Hong Kong SAR, the Macau SAR, and Taiwan); any country or territory subject to comprehensive sanctions (including, without limitation, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk and Luhansk regions); together with any other jurisdiction in which the provision of the Services, including any on-ramp or off-ramp activity involving virtual or digital assets, would be prohibited or would require a license, registration, or authorization that we have not obtained. We reserve the right to add or remove jurisdictions from this list at any time and to restrict access to the Services on a country-by-country basis.
You represent and warrant that all information you provide to us is true, accurate, and complete, and that you will keep it up to date.
3. Description of Services
The Services consist of the facilitation of conversions between fiat currencies and digital assets, and between digital assets and fiat currencies, supporting multiple currencies. We may update, modify, suspend, or discontinue any part of the Services at any time, with or without notice.
At this stage, we do not warrant or represent that any part of the Services constitutes regulated financial, money transmission, exchange, investment, or payment services in any particular jurisdiction. You remain solely responsible for determining whether your use of the Services is permitted under the laws that apply to you.
4. Account Registration and Verification (KYC/AML)
To access the Services, you must create an account and complete our identity verification, "know-your-customer" ("KYC"), and anti-money-laundering ("AML") screening. You agree to:
- provide accurate, current, and complete registration and verification information;
- complete identity verification, which is performed through our third-party verification provider (see Section 8 and our Privacy Policy);
- maintain the security and confidentiality of your login credentials and be responsible for all activities under your account;
- notify us immediately of any unauthorized use of your account or any other breach of security; and
We may refuse, suspend, restrict, or terminate your account or any transaction at any time if we are unable to verify your identity, if we reasonably suspect fraud, money laundering, sanctions exposure, or other unlawful activity, if you breach these Terms or applicable law, or where we consider it necessary for security, legal, regulatory, or risk-management reasons.
5. Source of Funds and Same-Name Account Rule
You represent and warrant that all funds and digital assets you use in connection with the Services are legitimately owned by you and derived from lawful sources. We accept fiat transfers only to and from bank accounts held in your own name; third-party payments, collections, or transfers on behalf of any other person are strictly prohibited. Where we are unable to verify the source of funds, or where a transaction involves an account not held in your name, we may reject, reverse, or freeze the transaction, withhold the relevant funds or assets, and report the matter to the relevant authorities, in each case to the extent permitted or required by applicable law.
6. Prohibited Activities
You agree not to use the Services:
- for any unlawful purpose or in violation of any applicable law or regulation;
- in connection with any fraud, money laundering, terrorist financing, sanctions evasion, or other criminal activity;
- to interfere with or disrupt the operation or security of the Services or any related systems;
- to attempt to gain unauthorized access to any accounts, computer systems, or networks; or
- in any manner that could damage, disable, overburden, or impair the functioning of the Services.
We may investigate and take any action we consider appropriate, including suspending or terminating access to the Services and cooperating with law enforcement authorities.
7. Exchange Rates, Pricing, and Settlement
You acknowledge that the exchange rate between fiat currencies and digital assets is highly volatile. Any rate displayed to you at the time you place an order is indicative only. The actual rate applied to a transaction is the prevailing market rate at the time the relevant funds or assets are received and the conversion is executed. You acknowledge and accept the risk of slippage, and we are not liable for any difference between the indicative rate and the executed rate, or for any loss arising from delays in network confirmation, bank processing, or third-party settlement.
Applicable fees will be disclosed within the Services before you confirm a transaction. We reserve the right to modify our fee structure with reasonable advance notice. Except as required by applicable law or expressly stated, fees are non-refundable.
8. Third-Party Services and Identity Verification
The Services rely on third-party providers, including our identity verification provider, Sumsub (operated by Sum and Substance Ltd. and its affiliated companies), which assists with KYC, AML screening, and liveness/biometric checks during onboarding. When you register or complete verification, certain personal information (including identification details, documentation, and biometric data) will be transferred to such providers so that they can perform verification services. Your use of such third-party services may be subject to their own terms and privacy notices, and is further described in our Privacy Policy. You access any third-party services at your own risk.
9. No Advice and No Guarantee of Results
All content and information made available through the Services is provided for general information only and does not constitute any form of investment, financial, legal, tax, or other professional advice. You are solely responsible for evaluating any information and for making your own decisions. We do not guarantee that the Services or any information provided will achieve any particular result, outcome, or return.
10. Risk Notice
Using internet-based services and dealing with digital assets involves significant risks, including but not limited to market volatility, exchange-rate fluctuation, liquidity constraints, technological failures, cybersecurity incidents, and regulatory changes. You acknowledge that you use the Services at your own risk and that you may incur losses. You should carefully consider whether your financial situation and risk tolerance are suitable for any activity you undertake in connection with the Services.
11. Intellectual Property
All content, trademarks, logos, and other materials displayed on or provided through the Services are owned by us or our licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use. You must not copy, modify, distribute, sell, lease, or create derivative works based on the Services or any part thereof, unless expressly permitted by us in writing.
12. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis, without any warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or free from errors, viruses, or other harmful components, or that any defects will be corrected.
13. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Zori, its affiliates, directors, officers, employees, or agents be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, loss of data, or loss of business opportunities, arising out of or in connection with your use of or inability to use the Services, whether based on contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages. To the extent permitted by applicable law, our total aggregate liability arising out of or relating to the Services under this Agreement shall not exceed the total fees paid by you in the preceding 12 months.
14. Suspension and Termination
We may suspend, restrict, or terminate your access to the Services at any time, including where: (a) you breach these Terms; (b) we suspect fraudulent, unlawful, or improper activity; or (c) we are required to do so by a regulatory, legal, or compliance obligation. Upon termination, the provisions of these Terms that by their nature should survive (including Sections 5, 6, 12, 13, and 15) will continue to apply.
15. Changes to These Terms
We may amend these Terms from time to time. When we do, we will update the "Last Updated" date at the top of these Terms and may provide additional notice as appropriate. Your continued use of the Services after the effective date of any amendments constitutes your acceptance of the updated Terms. If you do not agree to the amended Terms, you must stop using the Services.
16. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them or the Services shall be governed by and construed in accordance with the laws of British Virgin Islands, without regard to its conflict-of-laws rules.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be submitted to the exclusive jurisdiction of the courts of British Virgin Islands.
